These Terms and Conditions ("Terms") govern your access to and use of sodsolutions.com and any related websites, content, and services (the "Site"), and your purchase of products from Sod Solutions, Inc. ("Sod Solutions," "we," "us," or "our"). Please read them carefully.

1. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to purchase from the Site. If you create an account, you are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Provide accurate, current, and complete information and keep it updated. Notify us promptly of any unauthorized use.

2. Orders and Acceptance

Your order is an offer to purchase. All orders are subject to acceptance and availability, and we may accept or decline any order in whole or in part. An order confirmation acknowledges receipt of your order; it does not constitute acceptance. A contract is formed only when we ship the product or otherwise confirm acceptance.

We reserve the right to limit quantities, refuse or cancel orders (including orders we believe are placed by dealers, resellers, or distributors, or that appear fraudulent), and to correct errors even after an order has been submitted.

3. Pricing, Taxes, and Payment

Prices are shown in U.S. dollars and are subject to change without notice. We strive for accuracy, but typographical, pricing, or product-description errors may occur. If a product's correct price is higher than the price shown, we may, at our discretion, contact you for instructions, cancel the order, or honor the displayed price.

Applicable sales tax is calculated and added at checkout based on your shipping destination. You authorize us and our payment processor to charge your selected payment method for the total order amount, including products, shipping, and taxes. Payment processing is handled by our third-party payment processor; by submitting payment information you agree to their terms as well.

4. Shipping, Delivery, and Perishable Products

Estimated shipping and delivery times are not guaranteed. Risk of loss and title pass to you upon our delivery to the carrier, except as otherwise required by law.

Sod, plugs, and other live/perishable products

Sod, grass plugs, and certain other products are live, perishable goods. Successful establishment depends on factors outside our control, including timely installation, watering, weather, soil conditions, and ongoing care. You are responsible for being prepared to install and water live products immediately upon delivery. Live and perishable products are subject to availability, seasonal and regional limitations, and the delivery coverage of fulfilling farms, and may have different return eligibility as described in our Return and Refund Policy.

Some local sod orders are fulfilled by independently licensed sod farms. Delivery windows, minimums, and coverage areas for those products are determined by the fulfilling farm.

5. Returns, Refunds, and Cancellations

Returns, refunds, and cancellations are governed by our Return and Refund Policy, which is incorporated into these Terms by reference. Live/perishable products, regulated control products, and certain other items may be non-returnable. Please review that policy before ordering.

6. Control Products and Regulated Items

We sell fertilizers, soil amendments, and EPA-registered control products, including insecticides, fungicides, and herbicides ("Control Products"). By purchasing Control Products, you agree that:

• You will read and follow all product labels, which are the law; the label governs proper, lawful use, application rates, protective equipment, and storage.
• You are responsible for ensuring a product is registered for use and lawful in your state or jurisdiction. Certain products are restricted, not available, or require licensing in some areas, and we may be unable to ship them to those destinations.
• You will use Control Products only for their labeled purposes and in compliance with all applicable federal, state, and local laws.
• Control Products may be non-returnable for safety and regulatory reasons.

Sod Solutions is not responsible for damage, injury, or loss resulting from misuse, off-label use, or use contrary to the product label or applicable law.

7. Acceptable Use of the Site

You agree not to: violate any law or these Terms; infringe our or others' intellectual property; introduce malware or attempt to gain unauthorized access to the Site or its systems; scrape, harvest, or collect data without permission; interfere with the Site's operation; or use the Site to transmit unlawful, infringing, or harmful content.

8. Intellectual Property and Trademarks

The Site and its content-including text, graphics, logos, images, product and care guides, and software-are owned by or licensed to Sod Solutions and are protected by intellectual-property laws. Sod Solutions brand and turfgrass names and logos (including, without limitation, Celebration®, CitraBlue®, CitraZoy®, Cobalt®, EMPIRE® Zoysia, Innovation®, Latitude 36®, Lobo®, NorthBridge®, Palmetto®, Sola®, and Lawnifi®) are trademarks of Sod Solutions or its affiliates. You may not use them without our prior written permission. We grant you a limited, revocable, non-exclusive license to access and use the Site for personal, non-commercial purposes consistent with these Terms.

9. User Content and Reviews

If you submit reviews, comments, photos, or other content, you grant Sod Solutions a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, display, and distribute that content in connection with the Site and our marketing. You represent that you own or have rights to the content and that it does not violate any law or third-party right. We may remove content at our discretion.

10. Third-Party Links and Brand Sites

The Site may link to third-party websites, including our individual turfgrass brand sites and partner stores. We do not control and are not responsible for their content, products, or practices. Accessing them is at your own risk and subject to their terms.

11. Product Guidance and Disclaimer of Warranties

Lawn-care guides, recommendations, calculators, and other information on the Site are provided for general educational purposes. Results vary based on climate, soil, grass type, installation, and maintenance, and we do not guarantee any particular outcome.

Except as expressly stated in writing or required by law, the site and all products and content are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

12. Limitation of Liability

To the fullest extent permitted by law, Sod Solutions and its officers, directors, employees, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, goodwill, or other intangible losses, arising out of or relating to the site or any products, even if advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to the site or a product will not exceed the amount you paid for the product giving rise to the claim.

Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above may not apply to you.

13. Indemnification

You agree to indemnify and hold harmless Sod Solutions and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Site, your violation of these Terms, your misuse of any product (including Control Products), or your violation of any law or third-party right.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Subject to the arbitration provision below, you agree that any dispute will be brought exclusively in the state or federal courts located in Charleston County, South Carolina, and you consent to their jurisdiction and venue.

Optional - confirm with counsel before including. If Sod Solutions wishes to require arbitration and a class-action waiver, insert an "Arbitration and Class Action Waiver" clause here (e.g., binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, with a clearly disclosed opt-out window). These provisions have specific drafting and enforceability requirements and should be reviewed by an attorney.

15. Changes to These Terms

We may modify these Terms at any time by posting the updated version with a new "Last updated" date. Changes are effective when posted. Your continued use of the Site or placement of an order after changes take effect constitutes acceptance.

16. General Provisions

• Entire agreement: these Terms, the Privacy Policy, and the Return and Refund Policy are the entire agreement between you and Sod Solutions regarding the Site.
• Severability: if any provision is found unenforceable, the remaining provisions remain in effect.
• No waiver: our failure to enforce any provision is not a waiver of it.
• Assignment: you may not assign these Terms without our consent; we may assign them in connection with a business transfer.
• Force majeure: we are not liable for delays or failures caused by events beyond our reasonable control, including weather, supply disruptions, and acts of God.
